Last updated: March 2026
Please read these Terms of Service carefully before using the platform.
1. Acceptance of Terms
By accessing or using R2C.Ai ("the Platform"), you acknowledge that you have read and agree to these Terms of Service as well as the Platform's Privacy Policy and other applicable policies governing the use of the Platform. You further agree to any role-specific agreements including the Researcher Agreement or Industry User Agreement as applicable to your account type.
Users are required to explicitly accept these Terms, the Privacy Policy, and the Intellectual Property Policy during onboarding.
2. Platform Description and Role
R2C.Ai is an AI-powered platform that facilitates discovery, evaluation, and engagement between researchers and industry partners. The Platform provides tools for uploading research, AI-powered analysis, and confidential matchmaking between researchers and industry users.
Important: R2C.Ai facilitates discovery and initial engagement only. The Platform does not act as a broker, agent, or contracting party in licensing, assignment, or commercialization agreements unless explicitly stated in writing. R2C.Ai is not a party to research commercialization transactions.
3. User Accounts
You must create an account to access certain features. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities under your account
- Ensuring that information provided during registration, including institutional affiliation or organizational identity, is accurate and up to date
- Updating your account information if circumstances change
Users must provide accurate institutional affiliation or organizational identity during registration. Misrepresentation of institutional affiliation may result in account suspension.
4. Intellectual Property Rights
4.1 Ownership Clarification
All intellectual property rights remain with the original legal owner. Uploading research content to the Platform does not transfer, assign, or modify ownership rights. R2C.Ai makes no claim to intellectual property rights in user-uploaded content.
4.2 Limited Platform License
By uploading research content, you grant R2C.Ai a limited, non-exclusive, revocable license solely for the purpose of storing, analyzing, and displaying approved metadata or summaries required to operate the Platform. This license does not include rights to commercialize, sublicense, or use your research for any purpose beyond platform operations.
4.3 No Implied Rights
Use of the Platform does not create any implied license, assignment, ownership, or commercialization rights unless explicitly granted through a separate written agreement. No license is granted to any third party except as required by this license and the controlled disclosure workflow.
4.4 Platform Content
AI-generated analyses, scores, classifications, and recommendations are provided as informational tools and do not constitute professional advice. Platform content remains the property of R2C.Ai but is provided only for informational use.
5. AI Processing and AI Disclaimer
Research content may be processed by AI systems to generate summaries, classifications, and research readiness insights. You acknowledge and agree that:
- AI-generated analyses are provided for informational purposes only
- AI outputs should not be interpreted as legal, technical, or commercial advice
- AI processing does not determine inventorship, patentability, ownership, or regulatory compliance
- AI outputs do not affect intellectual property ownership or rights
- AI classifications and readiness indicators are assistive tools, not binding determinations
You should conduct independent evaluation, technical analysis, and legal review before making commercialization or investment decisions based on Platform content or AI-generated outputs.
6. Research Disclosure Model
The Platform operates on a controlled disclosure model designed to protect researcher confidentiality while enabling industry evaluation. You acknowledge and agree to the following:
6.1 Abstract-First Visibility
By default, only abstracts and limited, non-confidential metadata are visible to industry users. Full research details are not disclosed without your explicit approval.
6.2 Confidential Research Disclosure
Detailed research information, including documents, datasets, code, prototypes, or other sensitive materials, may be shared only after:
- You expressly approve the disclosure request
- The relevant parties complete a valid confidentiality agreement (NDA or equivalent)
- All required platform-controlled disclosure procedures are completed
6.3 Nondisclosure Agreements
You understand that before accessing confidential research materials, industry partners must execute a valid Non-Disclosure Agreement. R2C.Ai facilitates but does not negotiate or execute such agreements on your behalf.
7. Industry User Access Restrictions
Industry users are restricted in how they may interact with research information depending on whether a confidentiality agreement has been executed.
7.1 Before NDA Execution
Before a confidentiality agreement is executed, industry users may:
- View abstracts and metadata
- Search and filter research listings
- Express interest in studies
- Request meetings or further information
7.2 Prohibited Before NDA Execution
Before a confidentiality agreement is executed, industry users may NOT:
- Access full research materials or documents

- Share research details with third parties
- File intellectual property based on disclosed research
8. Commercialization Terms
Any licensing, assignment, joint development, or commercialization of research occurs through separate agreements between the relevant parties and is entirely outside the Platform.
- R2C.Ai does not negotiate commercial terms or licensing rates
- R2C.Ai is not responsible for enforcing commercialization agreements
- R2C.Ai does not validate patent claims, commercialization feasibility, or market readiness
- All commercial negotiations and agreements occur directly between parties, not through R2C.Ai
9. Due Diligence Responsibility
Industry partners are solely responsible for conducting their own technical, legal, and commercial due diligence before entering into any licensing or commercialization agreements. This includes:
- Independent technical evaluation of research
- Patent search and freedom-to-operate analysis
- Regulatory compliance assessment

- Auditing activity for compliance with platform policies
Violations of platform policies or these Terms may result in account suspension, termination, or legal action.
12. Post-Transfer Responsibility
Once intellectual property rights are licensed or transferred through a separate agreement between parties, responsibility for implementation, commercialization, regulatory compliance, and all subsequent commercial activities rests solely with the contracting parties. R2C.Ai has no responsibility for ongoing development, commercialization success, or regulatory outcomes.
